Terms & Conditions
These terms explain the responsibilities of Restock, distributors and shop owners when using the app for wholesale orders, prices, credit, payment records, business confirmation and Restock plans. Last updated: October 31, 2026.
By creating an account or using Restock you agree to these Terms & Conditions and to the Privacy Policy. Restock is a business-to-business platform; you must use it on behalf of a registered business or sole proprietorship and not as a consumer. If you do not agree to these terms, do not use Restock.
You must be at least 18 years old and authorised to enter into contracts on behalf of the business you represent. Dealers must hold valid registrations (including GSTIN where applicable) required to operate as a distributor or wholesaler in India. Retailers must operate a legitimate shop, kirana, or business establishment. You must give accurate details about your business.
Accounts are linked to your mobile number and are protected by OTP login and, optionally, biometric re-login on your device. You are responsible for keeping your phone, OTPs, and biometric access secure, and for all activity that takes place under your account. A dealer's owner may invite staff to use the dealer's account with a role (for example Operations, Accounts or Dispatch); the owner is responsible for what staff do in Restock and for removing their access when they leave. Notify support immediately if you suspect unauthorised access.
Restock is a software platform that helps dealers showcase their catalog and helps retailers place orders, track payments, and manage credit relationships. Restock is not a party to the sale of goods between a dealer and a retailer. We do not own the goods being sold, we do not warehouse or deliver them, and we do not act as a payment gateway or lender for those sales. Each order is a direct commercial transaction between the dealer and the retailer.
Dealers are solely responsible for the accuracy of their catalog, including product details, pack sizes, MRP, selling price, taxes, stock availability, and product images. Dealers may set different prices for particular shops through price lists, special rates, quantity slabs and free-quantity schemes. An order records the prices shown to the shop when it is placed, worked out from the dealer's prices for that shop. Prices and stock can change at any time. Retailers should confirm critical details with the dealer where needed. Restock does not guarantee the accuracy of dealer-uploaded content.
A retailer order on Restock is an offer to buy at the prices and quantities shown at the time of placement. The order becomes binding only when the dealer accepts it through the app. Either party may cancel within the rules shown in the app (for example, before dispatch). If a dealer cannot supply all of an accepted order, it may propose a smaller one in the app; the shop may approve or decline it, and if the shop has not answered within 24 hours the dealer may send the smaller order and the shop is told. Restricted items whose licence the dealer has not approved stay in the shop's cart and are not ordered. Quantities, partial fulfilments, returns, and credit notes otherwise follow the dealer's own policies.
Restock may ask a business to confirm itself with a GSTIN, Udyam registration or PAN in the business's own name or, for a shop, a Shop Act (Shops and Establishments) licence. You authorise Restock to check these against government records through its verification provider, and you confirm that the numbers and documents you give are genuine and belong to your business. Once Restock requires confirmation, a shop must be confirmed to place orders and to be given credit, and shops see only payment accounts a dealer has confirmed. A confirmation means the details matched when they were checked; it is not a guarantee of a business's conduct, solvency or licences. Restock may withdraw a confirmation, and suspend the account, if information turns out to be false.
Credit limits, credit periods, and order due dates are set by each dealer for each retailer they choose to extend credit to. Once business confirmation is required, credit can be given only to confirmed shops. Credit on Restock is purely a commercial arrangement between the dealer and the retailer. Restock does not lend money, does not guarantee repayment, and is not a financial institution. Repayment ratings are derived from verified payment behaviour and overdue history within the platform; they are an informational signal for dealers, not a credit bureau score.
Payments are made directly between the retailer and the dealer using UPI, bank transfer, cash, a split between cash and UPI or bank, or any other mode they agree on. Restock records the payment, the mode, the reference, and any uploaded proof for reconciliation. We do not hold customer funds. Disputes about whether a payment was actually received are between the dealer and the retailer; the dealer's confirmation on Restock is the source of truth for repayment status.
Restock is offered on plans described in the app — for example a free trial, then paid plans for dealers with different features, and Shop Pro, an optional plan for shops. Shops can always place orders on Restock, whatever their plan. The price, the period and what each plan includes are shown in the app before you pay. A plan paid on the Restock website is processed by Cashfree Payments and covers the period you pay for; it does not renew by itself. A plan bought in the iOS or Android app is sold through the App Store by Apple or through Google Play by Google: it renews automatically for the same period and price until you cancel it in your App Store or Google Play account settings at least 24 hours before the period ends, and its refunds are handled by Apple or Google under their terms. When a plan ends, some features stop until you pay again — for example a dealer taking new orders, Premium features such as Tally sync, credit limits and team logins, or Shop Pro features such as downloads and the GST purchase register. Restock may change its plans and prices; a change does not affect a period you have already paid for. For questions about a charge, contact support. Invite rewards: a shop that invites its dealer, or a dealer that invites its shops, may earn free plan time as the app describes — for example one month of Shop Pro for each dealer who joins, or one month of Premium for every five shops who join. An invite counts only for a mobile number that wasn't on Restock when it was invited, once that business is approved; when several businesses invite the same number, the earliest invite counts. Free time starts after any time already running, is at most twelve months a year, has no cash value and can't be transferred. Restock may change or end invite rewards, and may withdraw time earned through fake accounts or other abuse.
Dealers continue to raise GST invoices in their own accounting software (typically Tally). Restock allows dealers to attach the invoice PDF or reference to a Restock order for shared visibility. Restock is not the system of record for GST invoices and does not generate tax documents. The Restock Connector for TallyPrime is optional and part of the plans that include it. Each dealer is responsible for its Tally setup, ledgers and the entries in its books, including entries Restock sends at the dealer's instruction. Each party remains responsible for its own GST compliance, e-invoicing, and bookkeeping obligations.
You agree not to: list counterfeit, prohibited, or illegal goods; misrepresent prices, stock, or your business; give false or borrowed business details or documents (for example someone else's PAN or a fake licence); place fake or non-genuine orders; harass, abuse, or threaten other users; reverse-engineer, scrape, or attempt to break the platform; upload malware or unlawful content; or attempt to bypass credit, licence, confirmation, blocked-retailer, or rating controls. Violations may result in suspension or termination of your account.
Dealers may block specific retailers from ordering from them. Restock may, at its sole discretion, suspend or terminate accounts that violate these terms, are subject to repeated complaints, post fraudulent payment proofs or business documents, or otherwise endanger other users.
You retain ownership of content you upload (catalog images, business details, shop photos, licences and business documents, payment proofs, invoice attachments). By uploading, you grant Restock a non-exclusive, royalty-free licence to store, display, and transmit that content to the users it is intended for, and to keep operational backups, for as long as needed to provide the service. Product photos: add only photos you took yourself or that the brand or other owner lets you use to sell the product. Your photos are shown with your own listings, resized and with their background cleaned. The photos in Restock's shared catalogue are chosen and maintained by Restock. If you believe a photo on Restock uses your work without permission, write to support@restockapp.in with the photo and proof that it is yours, and we will remove it promptly.
The Restock app, website, brand, logos, and software are owned by Restock and protected by Indian and international intellectual property laws. You receive a limited, revocable, non-transferable licence to use Restock for its intended business purpose. You may not copy, redistribute, or create derivative works of the platform. TallyPrime is a trademark of Tally Solutions Pvt. Ltd., and other product names mentioned belong to their owners. Restock is independent and is not affiliated with or endorsed by them; it names these products only to describe what Restock works with.
Restock is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or always available. We make no representations about the quality, safety, legality, or merchantability of goods listed by dealers, about the creditworthiness of any retailer, or about any business beyond what its confirmation checked. You use Restock at your own commercial risk.
To the maximum extent permitted by law, Restock and its team are not liable for any indirect, incidental, special, or consequential damages, lost profits, lost goodwill, missed orders, unpaid dues, defaulted credit, or business interruption arising from the use of the platform. Our total aggregate liability for any claim shall not exceed the platform fees, if any, you have paid to Restock in the three months preceding the claim.
You agree to indemnify and hold Restock harmless from claims, damages, fines, or expenses (including reasonable legal fees) arising out of your breach of these terms, your business activities on the platform, the goods you sell or buy, the credit you extend or take, or your violation of any law or third-party right.
You may stop using Restock at any time and request account deletion from support. Restock may suspend or terminate your account if you breach these terms or if continued access would harm other users or the platform. Provisions that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnity) will continue to apply.
We may update these terms as Restock evolves. Material changes will be communicated in the app or via a prominent notice before they take effect. Continuing to use Restock after an update means you accept the revised terms.
These terms are governed by the laws of India. Subject to applicable law, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising out of or in connection with Restock, without prejudice to any statutory consumer rights or mandatory grievance redressal mechanisms.
Some goods listed on Restock are regulated under Indian law and require the seller and/or the buyer to hold valid licences or registrations — for example fertilisers (Fertiliser (Control) Order, 1985), seeds (Seeds Act, 1966 / Seeds (Control) Order, 1983), and pesticides and insecticides (Insecticides Act, 1968), among others. A shop may add its licence in the app and ask a dealer to approve it for a regulated line; each dealer decides for itself, and until it approves, Restock holds those items back from the shop's orders with that dealer. This helps dealers record their decision; Restock does NOT verify, validate, or vouch for any licence, registration, or eligibility of any dealer or retailer, and takes no responsibility for regulatory compliance. Each dealer is solely responsible for holding the licences required to sell the goods they list and for confirming that a retailer is legally eligible to purchase regulated goods. Each retailer is solely responsible for holding the licences required to purchase and deal in those goods and for confirming the dealer's eligibility to sell them. Restock acts only as a neutral software intermediary and is not liable for any sale or purchase of goods made without the required licences.
